Do Not Require Meetings


Unless client circumstances dictate otherwise, I specifically state in the LLC Operating Agreement that no meetings are not required.

There is no reason to require things of LLC owner/members or LLC managers that may not be done. If things required in an LLC Operating Agreement are not done, it lends support to the argument that LLC owner/members are disregarding their own LLC rules, that is, disregarding the fact that their LLC is a separate and distinct legal entity. Evidence to support this type of argument is one of things creditors look for when they seek to set aside an LLC’s asset and liability protection.

When I organized “Form” LLC, whether meetings were required depended upon which “form” operating agreement I used.
