Sample Bill of Sale

Included in my firm’s LLC Package is a sample bill of sale for each new LLC to use as a guide for documenting the transfer of assets to the LLC. The sample bill of sale is included in the Document Case and on the Computer Diskette with all sample documents.

Use of the sample bill of sale will strengthen the argument against setting aside LLC liability protection by strengthening the argument that the LLC is a separate and distinct legal entity apart from LLC owner/member(s). Use of the sample bill of sale is discussed in the Attorney Letter on doing business as an LLC. Use of a bill of sale will also memorialize the transfer of assets to an LLC for both liability and tax purposes.

When I organized “Form” LLCs I did not include a sample bill of sale.
