Sample LLC "Certificate of Authority"

Included in my firm’s LLC Package is a sample LLC “Certificate of Authority” for each new LLC. Certificates of authority are used like corporate resolutions for an easy and commercially accepted way for the LLC to give assurance to third parties that the LLC and the individual(s) acting on the LLC’s behalf has/have authority to take the action at issue.

The sample LLC certificate of authority is included in the Document Case and on the Computer Diskette with all sample documents. Use of the LLC “Certificate of Authority” may save time, will create an appearance of professionalism, may save money on a return trip to an attorney, and will strengthen the argument against attempts to pierce LLC liability protection.

Use of this sample document is addressed in the Attorney Letter on doing business as an LLC. When I organized “Form” LLCs I did not include provisions for certificates of authority or a sample.
