Sample Promissory Notes

Included in my firm’s LLC Package are sample promissory notes for each new LLC. The promissory notes are guides for proper documentation of LLC borrowing and lending. The sample promissory notes are included in the Document Case and on the Computer Diskette with all sample documents.

Use of the sample promissory notes will strengthen the argument against setting aside LLC liability protection. Use of the sample promissory notes is discussed in the Attorney Letter on doing business as an LLC. One of the first things I look for when I am the attorney seeking to pierce an LLC's asset and liability protection, is evidence of LLC borrowing and lending and the lack of promissory notes documenting the transactions.

When I organized “Form” LLCs I did not include sample promissory notes.
